Commercial and financial due diligence are crucial aspects of business acquisition. Transaction services professionals conduct expert, commercial assessment of each deal, drafting warranties and indemnities to offset risk, facilitating integrated synergies to put their client in a strong negotiating position.
To conduct this in-depth, commercial analysis, Transaction services professionals look very closely at the historical and projected P&L, cash flow and balance sheet of a company. Preliminary desk top reviews, pre-sale vendor due diligence and financial due diligence for equity and debt providers all fall within the remit of this role.
For many newly qualified accountants, a move into transaction services provides the first step into corporate finance and a platform to develop future deal making skills.
There are currently limited opportunities in transaction services departments of the 'Big 4' and top 20 firms due to current economic conditions but this should pick up in the near future.
