About Our Client

Our client is an industrial space developer with worldwide clients.

Job Description

- responsible for conduct all negotiation and closing stages with investment partners and buyers

- responsible for the process from A to Z transactional closing with investment partners

- manage and close individual transactions including joint ventures, development management agreements and sale transactions

- help the investment partners to understand and underwrite the investment opportunities presented by Company, coordinating all due diligence activities including managing VDR or similar

- maintain and develop working relationships with the investment partners in place, those having already an established track record with the group as well as new investment partners

- guide the development teams to ensure the proposed investments would be matching the investors' expectations and market standard

- be a pro-active member of the Capital Markets team, exploit internal synergies

- contribute to the internal database of investors and investment managers

- managing all corporate affairs and advising on Luxembourg and European company law

- provide legal support to the Holding/Financing subsidiaries and affiliates with a foreign activity, when required by HQ or local Legal Department

- advice on corporate governance issues for Luxembourg holding entities of the Group

- drafting and reviewing of various agreements and resolutions, including shareholders resolutions, board resolutions, finance and loan agreements

- conduct the creation of companies, liquidations, name changes, transfers of shares, legalizations of documents when required, and any shareholder restructuring within the group

- legal compliance and corporate secretarial matters

- prepare, coordinate and communicate with regulatory authorities

- 1st point of contact for external advisors and authorities

- monitor the changes in the legislation and communicates on the impacts for the business

- assist during internal and external audits

The Successful Applicant

- have at least 5 years of professional experience

- former similar role

- speaks fluently French and English
